Wholesale and Resale Policy

EyeLight Media has a wholesale and resale policy designed to protect the value of our products and the profitability of resellers that market our products. In order to be profitable conducting wholesale business, we reserve our wholesale pricing for businesses that can be a regular and ongoing reseller of our products. EyeLight Media reserves the sole right to determine if a potential reseller meets this requirement.

Although resellers remain free to establish their own resale prices, EyeLight Media will, without assuming any liability, cancel all orders from any reseller following EyeLight Media’s verification to its satisfaction that such reseller has advertised, offered, or sold any EyeLight Media product at a net retail sales price less than the minimum retail price established and announced by EyeLight Media (the “Floor Price”).

This Policy may be modified at anytime by EyeLight Media, and the Floor Price may be affected by promotions announced by EyeLight Media or may change during promotional periods designated by EyeLight Media.

The Floor Price, effective January 1, 2007, $14.99 per unit, exclusive of all state and local taxes.

This Policy will apply to all resellers of our products. Since EyeLight Media reserves the right to alter this policy at any time, and should the policy be altered in the future, all existing resellers will be notified of the change. In addition, EyeLight Media neither solicits nor accepts any assurance of compliance with this Policy. Nothing in this Policy shall constitute an agreement between EyeLight Media and any reseller. The acquisition of an EyeLight Media product infers that the reseller will comply with this Policy.
